Press release from: asknet AG

Karlsruhe, 4 June 2008 – At its second ordinary shareholders’ meeting on 30 May 2008 in Karlsruhe, asknet AG announced the creation of a fully-owned subsidiary in Japan. The aim is the continued expansion of business in Japan and Asia. With the creation of the new company asknetKK, asknetBB which originated from the joint venture with SOFTBANK BB Corp. will be dissolved within the next 12 months. The strategic partnership with the SoftBank Group is to be continued also in future in the areas of payments, logistics and customer service.
All agenda items for the shareholders’ meeting were decided with a majority of 99.99% or 100%. The confidence in all six members of the supervisory board was also confirmed by their unanimous reelection.
The agenda item “Stock Option Plan“ and the related conditional capital increase totaling EUR 350,000.00 were also approved with a large majority. With this step, asknet AG intends to set up a competitive and attractive element of remuneration to recruit and retain top performers in Europe and the US. The additional benefit for employees is their participation in the company’s success – for shareholders it means an increase in the company’s value. The exercise of the options is conditional upon performance objectives (EBIT margin) being realized over several years.
